Welcome to Pika Business, operated by Pika LTD (“Pika”, “we”, “our”, or “us”). By creating an account, accessing, or using the Pika Business platform you agree to be bound by these Terms & Conditions. Please read them carefully before registering.
1. Acceptance of Terms
By clicking “Create Account” or by otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms & Conditions together with our Privacy Policy. If you do not agree, please do not access or use the Platform. These terms apply to all users, including business owners, merchants, logistics partners, and customers browsing merchant storefronts.
2. Eligibility
- You must be at least 18 years of age to register on the Platform.
- You must be legally authorised to operate the business you register. Providing false business information is a ground for immediate account suspension.
- The Platform is currently available to businesses operating within Nigeria. Access from outside Nigeria is not guaranteed and may be restricted.
3. Account Registration & Security
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately at support@pika.ng if you suspect any unauthorised use of your account.
- We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these Terms.
4. Prohibited Products & Services
The following categories of goods and services are strictly prohibited on the Platform. Violation of this clause may result in immediate account termination, forfeiture of funds, and reporting to relevant authorities:
- Illegal or controlled substances — Any narcotic, psychotropic, or otherwise prohibited drug or chemical under Nigerian law or international conventions (e.g., NDLEA schedules) is forbidden. This includes, but is not limited to, cannabis, codeine above prescribed limits, heroin, cocaine, methamphetamine, and synthetic analogues.
- Counterfeit & pirated goods — Products that infringe intellectual property rights, including fake branded items, pirated software, or unlicensed media.
- Weapons & ammunition — Unlicensed firearms, ammunition, explosives, or any item primarily designed to cause bodily harm.
- Human trafficking or exploitation — Any service, listing, or content that facilitates trafficking, forced labour, or the sexual exploitation of persons.
- Stolen goods — Products that are known or reasonably suspected to have been obtained through theft, robbery, or other criminal activity.
- Hazardous materials — Unregulated chemicals, biohazardous materials, or radioactive substances not permitted for commercial sale.
- Any other product or service prohibited by applicable Nigerian federal, state, or local law.
5. Fraudulent Transactions & Legal Compliance
Pika Business operates a zero-tolerance policy against fraud. The following conduct is strictly prohibited and will be reported to appropriate Nigerian law enforcement agencies, including the Nigeria Police Force, EFCC, ICPC, and other competent authorities:
- Using the Platform to process or facilitate fraudulent payments, Ponzi schemes, advance-fee fraud (“419”), or any other financial crime.
- Creating fictitious orders, fake reviews, or false product listings intended to deceive customers or partners.
- Money laundering or using the Platform to conceal the proceeds of criminal activity.
- Providing false or misleading business registration information during onboarding or at any later time.
- Chargeback fraud — initiating illegitimate chargebacks or payment disputes to retain both goods and payment.
Pika reserves the right to freeze associated funds, terminate accounts, and report suspected fraudulent businesses to the appropriate law enforcement agency without prior notice.
6. Delivery & Logistics — Liability for Damaged Goods
Pika Business provides an integrated logistics connection service that links merchants with third-party logistics riders and companies. In respect of delivery:
- Pika Business is not liable for any damage, loss, theft, or destruction of goods while in the custody of a logistics rider or logistics company. Liability for damaged or lost goods rests solely with the logistics company or rider responsible for the delivery.
- Merchants are encouraged to ensure goods are adequately packaged to prevent damage during transit.
- Any claims for damaged or lost items must be raised directly with the logistics company or rider. Pika Business may assist in facilitating dispute resolution but bears no financial liability.
- Merchants who offer delivery services through the Platform are advised to obtain third-party logistics insurance where applicable.
7. Payments & Fees
- Subscription fees are charged as outlined on our pricing page. Fees are non-refundable except where expressly stated.
- All amounts are displayed and charged in Nigerian Naira (₦) unless otherwise stated.
- Pika processes payments through regulated payment gateways. We do not store card details.
- Failed or disputed payments may result in temporary restriction of platform features until outstanding balances are settled.
8. Merchant Obligations
- Merchants are solely responsible for the accuracy of product descriptions, prices, stock levels, and images on their storefront.
- Merchants must honour confirmed orders. Repeated cancellations or failure to fulfil orders may result in account suspension.
- Merchants must comply with all applicable consumer protection laws in Nigeria, including but not limited to the Consumer Protection Council Act and the Federal Competition and Consumer Protection Act (FCCPA).
- Merchants are responsible for remitting any applicable taxes (including VAT) on sales made through the Platform.
9. Intellectual Property
All content, branding, software, and technology on the Pika Business Platform is the intellectual property of Pika by Deaelum. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent. Merchants retain ownership of their own product images, logos, and descriptions uploaded to the Platform but grant Pika a non-exclusive, royalty-free licence to display such content for the purpose of operating the Platform.
10. Privacy & Data Protection
We collect and process personal data in accordance with Nigeria's Nigeria Data Protection Act (NDPA) 2023. By using the Platform, you consent to our collection, storage, and processing of your data as described in our Privacy Policy. We do not sell personal data to third parties. Customer data collected through storefronts is used solely to fulfil orders and improve user experience.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Pika shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Platform.
- Our total cumulative liability to you for any claim arising out of or related to these Terms shall not exceed the total fees paid by you to Pika in the three (3) months preceding the event giving rise to the claim.
- We do not guarantee uninterrupted or error-free access to the Platform and are not liable for any losses arising from downtime or technical failures beyond our reasonable control.
12. Suspension & Termination
We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or otherwise acted in a manner that harms the Platform, other users, or third parties. You may close your account at any time by contacting us. Termination does not relieve you of any outstanding obligations, including unpaid fees or liabilities.
13. Amendments
Pika reserves the right to update or amend these Terms at any time. We will notify registered users of material changes via email or an in-app notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the amendments.
14. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be referred to mediation. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
